Terms of Service

The deal in plain language — beta software, your keys and costs, acceptable use, and where responsibility sits when you approve an action.

1. The service

Nexus is a hosted memory and command center: you connect your tools, Nexus builds briefs and a dashboard, and agents propose actions you approve. The service is operated by David Chang ("we," "us").

This is beta software. It's provided as-is; features may change or break without notice, and during the beta we target good availability but promise none. We keep backups and tested restore procedures, but don't treat Nexus as your only copy of anything critical yet — export is free, use it.

2. Accounts

You sign in through our identity provider (WorkOS). You must be 18 or older. You're responsible for activity under your account and for keeping your devices and paired agents secure.

3. Your content

  • It's yours. You own your conversations, memory, notes, and briefs.
  • You grant us the limited rights needed to run the service: storing, indexing, and processing your content to produce the features you use. Nothing more — no training, no resale, no ads (see the Privacy Policy).
  • Team spaces: content you contribute is visible to the team and remains with the team if you leave.

4. Your keys and your costs (BYOK)

Nexus's agents run on credentials you bring:

  • The local agent runs on your Claude subscription, under your agreement with Anthropic.
  • The hosted runner runs on your own Anthropic API key. Anthropic bills you directly for that usage; you are responsible for all costs your key incurs, including runs you scheduled and then forgot about. We strongly recommend setting a spend limit on your key in the Anthropic console. We never mark up or resell model tokens.

Your keys are encrypted at rest and used only to run your work. Your use of Anthropic's models remains subject to Anthropic's terms.

5. Approvals — the responsibility boundary

Nexus is built so that agents can only propose outward actions; nothing is sent or written to your connected accounts until you approve it, and send-class actions are never auto-approved. That design creates a clear boundary:

  • Before you approve: proposals are ours to gate correctly. We're responsible for the enforcement machinery — risk caps, the approval gate, the audit trail.
  • When you approve: you're authorizing that action, as previewed, on your account. The preview on the approval card renders exactly what will execute — review it, especially for messages and emails. An approved action is your action.
  • Auto-allow is your configuration choice, available only for reversible action types; actions it executes on your behalf are treated as approved by you.

AI output can be wrong or misled by content it reads. The approval gate exists precisely so a wrong proposal costs you a rejection tap, not an incident — but that protection only works if you read before you approve.

6. Plans and billing

Free, Pro, and Team plans differ in lookback and recall windows, limits, and team features (current numbers in the app). Payments are processed by Stripe; subscriptions renew monthly and can be canceled anytime, effective at period end. If a renewal fails, you keep access during Stripe's retry window, then the space returns to Free — a downgrade never deletes data; older memories just fall outside the recall window until you re-upgrade.

7. Acceptable use

Don't use Nexus for illegal activity or to send spam, harassment, or deceptive messages through approved actions. Don't probe or attempt to access other tenants' spaces, circumvent plan limits or the approval gate, resell the service, or connect accounts you're not authorized to connect. Per-plan quotas and rate limits are enforced. We may suspend accounts that threaten the service or other users.

8. Disclaimers and liability

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND. AI-GENERATED CONTENT CAN BE INACCURATE — VERIFY BEFORE RELYING ON IT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (ZERO FOR FREE ACCOUNTS). WE ARE NOT LIABLE FOR CHARGES INCURRED ON YOUR ANTHROPIC KEY OR SUBSCRIPTION, OR FOR THE EFFECTS OF ACTIONS YOU APPROVED.

9. Termination

Delete your account anytime (Settings, or by request) — see the Privacy Policy for exactly what deletion removes. We may terminate beta accounts with notice; you'll have at least 14 days to export.
